1. Product Specifications & Natural Material Tolerance

All goods shall be manufactured strictly as per mutually approved samples, specifications, GSM, size, stitching, printing method, and packing details.
As jute is a natural fiber, minor variations in shade, texture, and weave are acceptable and shall not be considered defects.

2. Order Confirmation & Minimum Order Quantity (MOQ)

Orders are binding only upon written confirmation by the seller after approval of:

• Artwork and samples
• Quantity & pricing
• Delivery schedule
  Minimum Order Quantity (MOQ) applies unless agreed otherwise in writing.

3. Pricing, Currency & Validity

Prices are quoted in EUR or GBP (as agreed) and are valid for a limited period. Prices are based on current raw material, labour, and freight costs and are subject to revision in case of significant market fluctuations.

4. Payment Terms – Accepted payment methods include:

• Advance payment
• Letter of Credit
• Partial advance with balance before shipment
  All bank charges outside India shall be borne by the buyer. Production will begin only upon receipt of agreed payment security.

5. Production Lead Time & Delivery Schedule

Production timelines commence from receipt of advance payment and final artwork approval.
Delivery delays due to:

• Port congestion
• Vessel delays
• Customs or inspection delays
• Force majeure events
  shall not attract penalties or cancellation rights.

6. Packing, Labelling & Shipping Terms

Goods will be packed in export-worthy cartons or as per buyer instructions.
Shipping terms shall be governed by Incoterms thus (EXW, FOB, CIF, DDP, etc.).
Risk transfers at the point defined under the agreed Incoterm.

7. Inspection

Pre-shipment inspection may be conducted if agreed.

8. Intellectual Property & Branding Responsibility

All trademarks, logos, and artwork provided by the buyer are presumed authorized. The seller shall not be responsible for any intellectual property infringement arising from buyer-supplied materials.

9. Sustainability & Ethical Manufacturing

The seller follows ethical manufacturing practices, including:

• Use of biodegradable materials
• Fair labour standards
• Environmentally responsible production sustainability declarations are based on internal processes unless third-party certification is explicitly requested.

10. Cancellation, Amendments & Returns

Confirmed orders cannot be cancelled or modified once production begins.
Customized jute bags are non-returnable. In case of order cancellation, the buyer shall bear costs incurred up to the cancellation date.

11. Limitation of Liability

Seller’s liability, if any, shall be limited to the invoice value of the goods supplied. Consequential or indirect damages are expressly excluded.

12. Force Majeure

The seller shall not be liable for failure or delay due to events beyond reasonable control including natural disasters, strikes, war, pandemics, government restrictions, or raw material shortages.

13. Governing Law & Dispute Resolution

This contract shall be governed by the laws of India. All disputes shall be resolved through arbitration or courts located at the seller’s registered office in India, unless otherwise agreed.

15. Confidentiality

All commercial terms, pricing, designs, and communications shall be treated as confidential and shall not be disclosed without prior written consent.
